QUINTERGY, LLC – WEBSITE TERMS OF USE & PRIVACY POLICY

PART I — TERMS OF USE
1. Eligibility & Account Security
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter a legally binding contract to use the Services. You are responsible for safeguarding any login credentials and for all activities under your account.
2. Acceptable Use
You agree not to:
• violate any applicable federal, state (including Missouri), or local law;
• infringe intellectual‑property or privacy rights;
• introduce malware, scrape, or perform DDoS or penetration testing without written consent;
• use the Services to send unsolicited or unlawful messages;
• misrepresent your identity or affiliation.
3. Intellectual‑Property
All content, trademarks, and software on the Services are owned by Quintergy or its licensors and are protected by U.S. and international law. You receive a limited, non‑exclusive, revocable license to access and use the Services for their intended purpose. No other rights are granted.
4. User‑Generated Content
If you submit reviews, comments, code, or other materials (“UGC”), you grant Quintergy a perpetual, worldwide, royalty‑free, sublicensable license to host, use, reproduce, modify, display, distribute, assign, and create derivative works from the UGC for any business purpose. You represent that you have all necessary rights to grant this license.
5. Commerce Terms
When you buy products or services via the Services:
– Pricing & Taxes. Prices are quoted in U.S. dollars and exclude applicable taxes, duties, and shipping unless stated.
– Orders. All orders are offers to buy; Quintergy may accept or reject in its sole discretion.
– Payment. You authorize us (or our processor) to charge your selected payment method for the total amount.
– Returns & Warranty. Unless a separate written policy applies, all sales are final and provided “AS IS.”
6. A2P & Communications Consent
By providing a telephone number, email address, social‑media handle, or other contact information you:
1. Affirmatively consent to receive Application‑to‑Person (A2P) messages—including SMS/MMS, rich‑chat, voice, and email—related to marketing, promotions, account notices, and transactional content from Quintergy.
2. Understand that message frequency may vary and that message & data rates may apply.
3. May opt out at any time (e.g., reply “STOP” to SMS, click an email unsubscribe link, or contact us at [email protected]).
4. Acknowledge that consent is not a condition of purchase where prohibited by the Telephone Consumer Protection Act (TCPA), the Controlling the Assault of Non‑Solicited Pornography and Marketing Act (CAN‑SPAM), or other law.
Quintergy adheres to CTIA and 10DLC guidelines and reserves the right to verify or audit consent records.
7. Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUINTERGY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. Except for gross negligence or willful misconduct, Quintergy’s total liability arising out of or relating to the Services will not exceed U.S.$100 or the amount you paid to us in the past 12 months, whichever is greater.
8. Indemnification
You agree to defend, indemnify, and hold harmless Quintergy from any claim, damage, or expense (including attorneys’ fees) arising out of your use of the Services or violation of these Terms.
9. Termination
Quintergy may suspend or terminate your access without notice if we believe you violated these Terms or applicable law.
10. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Missouri, without regard to conflict‑of‑law rules, and by applicable U.S. federal law.
Arbitration. Any dispute not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Rules in Springfield, Missouri. No class or representative actions are permitted.
11. Modifications
We may update these Terms at any time by posting the revised version and changing the “Last updated” date. Continued use constitutes acceptance.

PART II — PRIVACY POLICY
1. Scope
This Policy explains how Quintergy collects, uses, discloses, and safeguards “Personal Information” (information that identifies, relates to, or could reasonably be linked with you).
2. Information We Collect
Identifiers (name, postal & email address, phone number, IP, device ID);
Commercial Data (purchase history, payment token);
Internet/Network Activity (browsing, clickstream, device characteristics);
Geo‑location (approximate);
Audio/Visual (support calls, user‑submitted media);
Inferences & Metadata (profiles, preferences).
Consent to Metadata Use
By using the Services you grant Quintergy an irrevocable right to collect, analyze, aggregate, assign, and use any metadata or derivatives thereof for our legitimate business purposes, including product development, marketing, analytics, AI training, and commercialization, subject to the limitations of this Policy and applicable law.
3. How We Use Information
Provide, operate, and improve the Services; process orders; authenticate users; send transactional and marketing communications; conduct analytics and advertising; prevent fraud; comply with legal obligations.
4. Legal Bases
Consent, contract performance, legal obligations, and legitimate interests.
5. Sharing & Disclosure
Affiliates; service providers; business partners; advertising/analytics partners; law enforcement; successors. We do not sell Personal Information for money.
